Terms and Conditions

Acceptance by MARSAM METAL FINISHING CO. (“MMF”) of this order is expressly limited to
the terms and conditions contained herein. Any terms proposed by Purchaser are hereby rejected unless
otherwise accepted by “MMF” in writing.

1. “MMF” order acceptance and payment terms are subject to credit investigations and approval. Terms
are COD unless credit has been established. New customers please contact MMF for Credit Application.
Purchaser shall be responsible for any and all fess/collection costs associated with collection of payment
for services rendered by “MMF”.

2. Unless previously withdrawn any quotation by “MMF” is valid and open for acceptance within 30 days
only from the date thereof.

3. All goods are quoted for delivery packaged as received or equal. “MMF” reserves the right to charge
additional for special packaging.

4. Whenever “MMF” is provided material/parts with detailed instructions as to processing requirements,
“MMF” responsibility shall end with the carrying out of the instructions.

5. Type of material, heat treat, tolerances and coating/processing specifications for processing shall be
given in writing prior to processing. If no specification is stated on customer’s PO, “MMF” will process
parts to generally accepted commercial standards (Please reference MMF QWI 703-137, please contact
“MMF” for a copy of this document if needed). Parts processed to general commercial standards will not
be certified in compliance with any specification.

6. The Purchaser shall retain title and risk of loss for all material/parts provided to “MMF” as specifically
provided herein or otherwise agreed to in writing by “MMF”.

7. “MMF” liability for any cause is limited to the cost of “MMF” processing. Charges for our services are
based on this policy limiting “MMF” liability. Only when agreed upon in writing will “MMF” assume
greater liability. In such event a higher charge may be made for “MMF” services. Unless otherwise agreed
in Writing, “MMF” will make “best effort” to perform receiving inspection with regard to PO processing
requirements. Parts will be screened for nicks, dings, scratches, and shipping/handling damage. If part
condition is rejected or determined to be insufficient to meet PO instruction customer will be contacted
for disposition. “MMF” will not rework parts to meet required condition without customer approval.

8. Material/Parts processed by “MMF” shall be deemed accepted as satisfactory by you if “MMF” is not
notified of damages, shortages, or other discrepancies within Five (5) days of your receipt in writing. Due
to the nature of the finishing process (e.g. racking/turbulent tanks/air knife/drying/bulk handling and
processing of small parts, etc.) and in consideration of the rates quoted, Customer agrees to a shrinkage
allowance of up to 2% in case of loss or damage to goods, MMF will not be liable.
9. Rejected material/parts must be returned to “MMF” for rework. Further processing or assembly of
unsatisfactory material/parts by you or another party shall constitute a waiver of any liability on “MMF”
part.

10. Where operations or processes performed by “MMF” are in the nature of “reworking” material/
parts or if the material/parts are to be stripped and reprocessed after being processed by others, the work
is accepted on a “good faith effort” basis and no liability shall attach to “MMF” unless previously agreed

upon in writing prior to processing the job. Whether or not the attempted rework operation is
successful, “MMF” will bill for and be paid for all time and material expended in this effort.

11. In no event, will “MMF” be liable for indirect, special, incidental, exemplary or consequential
damages of any kind sustained from any cause or arising out of any legal theory. These limitations also
apply to any liability that may arise out of third-party claims.

12. All orders are quoted FOB “MMF” New Britain, Connecticut, or unless otherwise agreed upon in
writing.

13. All shipments of parts/materials will be return shipped in the packaging and manner in which received.
Special packaging requirement’s must be quoted and agreed to by “MMF” and purchaser in writing in
advance of receiving the shipment.

14. Lead Times: Quoted Lead times are based on current work volume at the time of the quotation. Lead
times are estimated from the date quoted and are listed as AVERAGE BUSINESS DAYS. Lead times for
contracts received beyond (3) business days from date of quotation will be subject to change based on
current shop backlog conditions. Your lead time may vary based on actual quantities received, raw
material lead time, as well as other circumstances beyond MMF’s control. Please allow additional time on
initial orders of complex parts or assemblies requiring multiple processes or part specific handling. Please
contact Customer Service or your Account Manager in advance of shipment to verify actual lead time.

15. These terms and conditions shall be interpreted under the laws of and in the courts of the State of
Connecticut.
 
AS PART OF MMF’S PURCHASE ORDER IT IS REQUIRED TO:
– Have a quality system in place.
– State the country of origin of the raw material melt source on the material certification;
– Marsam Suppliers will comply with all applicable U.S. Government export control laws and regulations (ITAR, EAR)
– Suppliers will communicate any issues pertaining to this purchase order by contacting the buyer.
– Marsam will be permitted to verify and validate activities on external providers premise as state on purchase order.
– Marsam evaluates external providers for quality and delivery performance annually.
– Suppliers shall have a program for the prevention of counterfeit parts.
– Marsam will flow down to suppliers any special requirements or key characteristics on this purchase order.
– Notify our organization of nonconforming product immediately upon discovery.
– Obtain our organization approval for nonconforming product disposition.
– Notify our organization on nonconforming product.
– Return all material issued (including non-conforming parts) for complete accountability of product.
– Supplier shall maintain on file all quality data/records such as; certificates of material and / or processes (if applicable), acceptance test reports, inspection records, and other applicable quality control data.
– Our organization reserves the right of access by our representatives, our customers, and any regulatory authorities to the applicable areas of all facilities, at any level of the supply chain, involved in the order and to all applicable records.
– All parts must be suitably protected from damage during the machining process and shipment.
– All packages must be clearly marked with Part/Product Number.
– If Certification is requested with order it must be legible.
– Marsam maintains certain policies to guide its employees and suppliers with respect to standards of conduct expected in areas where improper activities could damage the Company’s reputation and otherwise result in serious adverse consequences to the Company and to employees involved.
By receipt of this Purchase Order you as a supplier acknowledge MMF’s code of conduct terms.
Our organization reserves the right to review and approve the Vendors Quality Management system and audit or survey their compliance on an annual basis. Suppliers initially approved for MMF use via Certification (ISO, AS9100,AC7004 Etc.) must notify us of any changes to that certification. Vendor acknowledges and agrees that any specifications and all related writings, drawings, designs and similar work provided to the vendor shall be deemed “Confidential Information”.
